These Terms and Conditions (“Terms”) govern the use of the website (middlemansourcing.com) and the professional services provided by Middleman Sourcing Ltd (“MMS”, “Company”, “we”, “us”, or “our”). By accessing our website or engaging our services, you (“Client”, “you”, or “your”) agree to these Terms.
1. BUSINESS NATURE & ELIGIBILITY
Middleman Sourcing Ltd (MMS) is a UK-based B2B sourcing and production coordination company. We act as a professional intermediary (agent) between registered business clients and third-party manufacturers. Our services are strictly available to registered businesses only. By engaging our services, you confirm that you act on behalf of a legal business entity and have the authority to bind that entity to these Terms.
2. SITE ACCESS & DATA PRIVACY
General visits to our site do not require personal data. We store anonymous access data solely for evaluation and service improvement. Any professional data provided to us is used to keep you informed of industry updates and is handled in strict accordance with our Privacy Policy.
3. DOWNLOAD PERMISSION & COPYRIGHT
All text, technical details, and imagery on this site are the copyright-protected property of MMS.
- General Restriction: No content may be downloaded or transferred without explicit permission.
- Professional Access: Designers, buyers, and managers may be granted permission to download technical presentations. To obtain this, professional data must be provided and stored by MMS.
4. THE ROLE OF MMS & SCOPE OF SERVICES
MMS provides a comprehensive suite of supply-chain management services. Our role is to act as your representative to ensure production meets your requirements. Our core services include:
- Supplier Sourcing & Verification: Identifying, vetting, and qualifying manufacturers to ensure they meet project standards.
- Production Supervision: Managing timelines and acting as the primary point of communication with the factory.
- Quality Control (QC): Performing inspections at agreed stages of production to verify product quality.
- Documentation & Compliance: Coordinating technical files, certificates, and compliance support for your specific market.
- Logistics & Shipping Assistance: Facilitating the movement of goods from the factory to the final destination.
Note: MMS is a service provider and is not the manufacturer of the physical goods. The contract for production is a facilitated agreement between the Client and the third-party Manufacturer.
5. SERVICE SCOPE & TRUST
We enhance reliability by vetting suppliers, performing inspections, and documenting findings. However, we do not guarantee third-party production capacity or commercial success. While suppliers are independent entities, MMS actively assists clients in dispute resolution and remediation whenever possible.
6. QUOTATIONS & SPECIFICATIONS
Quotations are valid for 14 days. It is the Client’s responsibility to ensure that all "Tech Packs" and technical specifications provided to MMS are final. MMS is not liable for production errors resulting from inaccurate client data.
7. PRICING, PAYMENTS & ESCROW
- Fees: Exclusive of taxes, duties, freight, and insurance unless stated.
- Standard Terms: A 50% deposit is required to start production; the 50% balance is due prior to shipment.
- Escrow: Where agreed in writing, payments may be held in escrow until milestones or inspection approvals are met. Unauthorised chargebacks constitute a breach of contract.
8. QUALITY CONTROL (AQL) & APPROVAL
Mass production commences only upon the Client’s written approval of a Pre-Production Sample (PPS). Unless otherwise agreed, MMS applies the AQL 2.5/4.0 standard for inspections. Clients must report visible defects within 7 days of delivery. Final acceptance of goods rests with the Client.
9. LEAD TIMES & FORCE MAJEURE
All lead times are estimates. MMS is not liable for delays caused by raw material shortages, factory capacity, customs holds, or events beyond our control (Force Majeure), including natural disasters, pandemics, or shipping disruptions.
10. LOGISTICS & INCOTERMS
Shipping coordination is provided as an agent only. Risk of loss or damage transfers according to the agreed Incoterms. MMS is not responsible for carrier delays, port congestion, or shipping damages.
11. ETHICAL SOURCING & COMPLIANCE
We perform reasonable due diligence to ensure suppliers comply with labour and environmental laws. Clients agree to provide accurate specifications regarding any specific regulatory compliance required for their region.
12. SUPPLIER RESPONSIBILITY
Suppliers remain independent third parties. MMS is not financially liable for defective goods, supplier insolvency, or production failure. We manage supplier accountability through vetting and reporting, but we do not assume the supplier's primary obligations.
13. CONFIDENTIALITY & INTELLECTUAL PROPERTY
All client designs, pricing, and specifications are treated as confidential. Intellectual property, including designs and trademarks, remains the Client's property. Website materials remain the property of MMS.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, MMS’s total liability for any claim shall not exceed the service fee paid for that specific project. We are not liable for indirect or consequential losses, including lost profits or business interruption.
15. INDEMNIFICATION
Clients agree to indemnify Middleman Sourcing Ltd from claims arising from product defects, regulatory violations, or intellectual property disputes related to client-provided materials.
16. TERMINATION
Either party may terminate services with written notice. Outstanding payments become immediately due. Because we manage bespoke manufacturing, orders cannot be cancelled once production has commenced or raw materials have been purchased.
17. DISPUTE RESOLUTION & ARBITRATION
Parties agree to resolve disputes through good-faith negotiation first. If unresolved, disputes will be submitted to binding arbitration in London, England. Arbitration decisions are final and enforceable.
18. GOVERNING LAW
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction for matters not subject to arbitration.
